LLC Outside Albany County? Publish in Albany Instead
New York's publication requirement follows the county where your LLC's office is on record. That county can be changed with a $30 state filing, and Albany County is where we publish. Here is how it works and what it costs.
$349 all-in, any New York county: publication in Albany following an effective office-county change. County change, both designated newspapers for six weeks, both affidavits and the Certificate of Publication, with both state fees included.
What the Law Says
Under LLC Law §206, a new LLC publishes a notice of its formation in two newspapers designated by the county clerk of the county where the LLC's office is located, once a week for six weeks, then files a Certificate of Publication with the Department of State ($50 fee).
Changing the County on Record
The Department of State's Certificate of Change lets an LLC change its county location (LLC Law §211-A for a New York LLC, §804-A for an LLC formed elsewhere). The filing fee is $30. We file it first, moving the county location to Albany County, and place your notice only after the state has filed it.
What It Costs
| LLC Office on Record in | Via Albany | In Your Own County |
|---|---|---|
| Albany County | $349 | Same: $349 |
| Westchester County | $349 | Not posted yet |
| Any Other New York County | $349 | Not posted yet |
All prices all-in, with the Department of State fees. We post a county's own-newspaper price only after verifying both of its designated newspapers' rates.
A One-Time Requirement
Section 206 publication happens once, after formation. It isn't renewed each year.
Questions
Can I Publish My New York City LLC in Albany?
Section 206 ties publication to the county where the LLC's office is located, as on record with the Department of State. The Department of State lets an LLC change its county location with a Certificate of Change (LLC Law §211-A for a New York LLC, §804-A for a foreign LLC; $30 filing fee). Once the change moving it to Albany County is filed, the Albany County Clerk's designated newspapers are the ones for its office county. We include that filing in the $349. If your LLC needs to keep its current office county for another reason, ask your attorney first: we're not a law firm. (Department of State: Certificate of Change)
Does the County Change Cost Extra?
No. The $349 includes the $30 Certificate of Change fee and the $50 Certificate of Publication fee. Same price if your LLC's office is already in Albany County.
Does Changing the County Restart My 120-Day Clock?
No. The 120 days count from the date the articles of organization took effect, and the certificate of change doesn't move that date. Already past the deadline? Publishing late still ends the suspension once the Certificate of Publication is filed.
Will I Have to Publish Again Later?
No. Section 206 publication is a one-time requirement tied to the LLC's formation. It isn't repeated each year.
In What Order Do Things Happen?
We file the Certificate of Change first. Your notice is placed with both Albany designated newspapers only after the Department of State has filed it, so the notice and the state record agree.
