New York LLC Publication
New York LLC Publication Requirement
Every new New York LLC has 120 days to publish a notice of its formation in two newspapers for six weeks and file a Certificate of Publication with the Department of State. Here is what the law asks, what happens if you miss it, and how to fix it.
Status: Ordering is open for every New York county: $349 all-in via Albany, county change included.
What the Law Asks for
- 120 days. The clock starts when the initial articles of organization take effect: the filing date, unless the articles set a later effective date.
- Two newspapers. The county clerk of the county where the LLC's office is located designates them: one printed weekly and one printed daily.
- Six weeks. The notice runs once a week for six weeks in a row in both papers.
- Certificate of Publication. With the newspapers' affidavits of publication attached, it is filed with the New York Department of State. The filing fee is $50. (Department of State)
What Happens If an LLC Doesn't Publish
Once the 120 days pass without the Certificate of Publication on file, the LLC's authority to carry on, conduct or transact business is suspended. That matters for good standing and, as New York courts have treated it, for bringing a lawsuit in the LLC's name while the suspension lasts.
The law also says what it does not do: the failure doesn't limit or impair the validity of any contract or act of the LLC. §206 sets no fine and no late fee.
Missed the Deadline? It Can Still Be Fixed
An LLC that publishes late and files its Certificate of Publication has its suspension annulled. The steps are the same as on time: six weeks in both designated papers, then the certificate and the $50 Department of State fee.

Common Questions
Does Every New New York LLC Have to Publish?
Yes. Under New York Limited Liability Company Law §206, within 120 days after its articles of organization take effect, an LLC publishes a copy of the articles or a notice of its formation in two newspapers, once a week for six weeks in a row, and then files a Certificate of Publication with the Department of State. (LLC Law §206)
Which Newspapers Do I Publish in?
Two newspapers designated by the county clerk of the county where the LLC's office is located: one printed weekly and one printed daily. Each county clerk makes its own designations.
What Is the Deadline?
120 days after the initial articles of organization take effect. That is the filing date, unless your articles set a later effective date. The Certificate of Publication, with the newspapers' affidavits of publication, is due within the same 120 days.
What Happens If an LLC Does Not Publish in Time?
When the 120 days run out without the Certificate of Publication on file, the LLC's authority to carry on, conduct or transact business is suspended. The law also says the failure does not limit or impair the validity of any contract or act of the LLC. New York courts have treated the suspension as stopping the LLC from maintaining a lawsuit while it lasts.
Can I Still Publish If I Missed the Deadline?
Yes. If the LLC later publishes and files the Certificate of Publication, the law says the suspension is annulled. §206 sets no fine and no late fee; the Department of State filing fee for the certificate is $50. A 2025 New York decision allowed an LLC that published late to go on with its lawsuit once it had complied. (Shoreview Holdings v Fernandez)
