New York LLC Publication: Learn
How the Certificate of Publication Filing Works
After the six weeks of publication, the LLC files a Certificate of Publication with the New York Department of State, with both newspapers' affidavits of publication attached. The filing fee is $50.
What Gets Filed
The Certificate of Publication form, the $50 fee, and the affidavits of publication from both newspapers, submitted together to the New York Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231. Card payment is possible with the Department's credit card authorization form. (Department of State: domestic LLC, foreign LLC)
New York LLC or Other-State LLC
The Department of State has separate Certificate of Publication forms for an LLC formed in New York and for one formed elsewhere that registered in New York. Professional service LLCs have their own versions too.
After It's Filed
With the certificate on file, the publication requirement is complete. If it was filed after the 120 days, the law says the suspension of the LLC's authority is annulled.
