New York LLC Publication: Learn

What Is New York LLC Publication?

New York LLC publication is a step every new New York LLC must complete: within 120 days after its articles of organization take effect, it publishes a notice of its formation once a week for six weeks in two newspapers designated by the county clerk, then files a Certificate of Publication with the Department of State ($50 fee).

Who Has to Publish

Every LLC formed in New York (LLC Law §206), and every LLC formed in another state that registers to do business in New York by filing an Application for Authority (LLC Law §802).

Which Newspapers

Two newspapers of the county where the LLC's office is located, one printed weekly and one printed daily, designated by that county's clerk. Each county clerk makes its own designations.

What the Notice Says

For a New York LLC, §206(a) lists what the notice includes:

  • the LLC's name;
  • the date its articles of organization were filed with the Department of State (and the date of formation, if different);
  • the county where its office is located;
  • the street address of its principal business location, if any;
  • that the Secretary of State is its agent for service of process, and the address the Secretary of State mails process to;
  • its registered agent's name and address, if it has one;
  • its latest dissolution date, if its articles set one;
  • the character or purpose of its business.

An LLC from another state publishes the substance of its Application for Authority instead, with the items §802 lists (including its home jurisdiction and date of organization).

What Comes After Publishing

Each newspaper provides an affidavit of publication. The LLC files a Certificate of Publication, with the affidavits attached, with the Department of State. How the certificate filing works.
