What the Law Asks for

  • 120 days. The clock starts when the initial articles of organization take effect: the filing date, unless the articles set a later effective date.
  • Two newspapers. The Westchester County Clerk designates them: one printed weekly and one printed daily.
  • Six weeks. The notice runs once a week for six weeks in a row in both papers.
  • Certificate of Publication. With the newspapers' affidavits of publication attached, it is filed with the New York Department of State. The filing fee is $50. (Department of State)

What Happens If an LLC Doesn't Publish

Once the 120 days pass without the Certificate of Publication on file, the LLC's authority to carry on, conduct or transact business is suspended. That matters for good standing and, as New York courts have treated it, for bringing a lawsuit in the LLC's name while the suspension lasts.

The law also says what it does not do: the failure doesn't limit or impair the validity of any contract or act of the LLC. §206 sets no fine and no late fee.

Missed the Deadline? It Can Still Be Fixed

An LLC that publishes late and files its Certificate of Publication has its suspension annulled. The steps are the same as on time: six weeks in both designated papers, then the certificate and the $50 Department of State fee.
